Introduction and Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the website www.ggsso.com (the "Site") and all services offered by GGenesis Strategic Solutions LLC ("Company," "we," "us," or "our"), including strategic consulting services, change management consulting, leadership training courses, the Leadership Circle subscription program, and all related content and materials.

By accessing our Site and using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Site or services. We reserve the right to modify these Terms at any time, and your continued use of our Site and services after such modifications constitutes your acceptance of the updated Terms.

1. Services Offered

GGenesis Strategic Solutions LLC provides the following services:

All services are delivered virtually unless otherwise agreed in writing. Service availability and features are subject to change at our discretion with 30 days' notice.

1.1a PastDue Academy Training Programs

PastDue Academy is a division of GGenesis Strategic Solutions LLC that provides healthcare claims processing training programs, including but not limited to Fast Track Medical Claims 101, ClaimCheck Audit Foundations, BenefitIQ Reimbursement Mastery, Medicare/Medicaid & Dual Processing, and Healthcare Platform Training. All PastDue Academy programs are governed by these Terms of Service. Enrollment in any PastDue Academy program constitutes acceptance of these Terms.

Proprietary Training Platforms: PastDue Academy uses proprietary simulation platforms (including ClaimsLab Pro and PayerSim Pro) for training purposes. These platforms, their interfaces, data models, workflows, and all associated content are the exclusive intellectual property of GGenesis Strategic Solutions LLC.

1.2 Virtual Delivery

All services are 100% virtual. You are responsible for providing your own equipment, internet connection, and a suitable environment for participating in training and consulting sessions. Technical difficulties on your end do not entitle you to refunds or service credits.

2. Pricing and Payment

2.1 Pricing

All prices are in U.S. dollars and are subject to change. Current pricing information is available on our Site. We reserve the right to adjust pricing with 30 days' notice to existing customers.

2.2 Billing and Payment Terms

For individual course purchases, payment is due in full at the time of purchase. For the Leadership Circle subscription, billing occurs automatically on the date you select, unless you cancel your subscription. You agree to provide accurate and complete billing information and authorize us to charge your payment method for all services ordered.

2.3 Payment Methods

We accept major credit cards and other payment methods as indicated on our Site. You are responsible for maintaining the confidentiality of your payment information and for all charges incurred under your account.

2.4 Taxes

All prices are exclusive of applicable sales taxes, VAT, or other government-imposed taxes. You are responsible for payment of all applicable taxes on purchases made through our Site.

3. Refund Policy

3.1 Course Refunds

If you purchase a leadership training course, you may request a full refund within 14 days of purchase if you have not completed more than 25% of the course material. Refunds requested after 14 days or after completing more than 25% of the course are not available. To request a refund, contact us at info@ggsso.com.

3.1a PastDue Academy Course Refunds

For PastDue Academy training programs, you may request a full refund within 7 days of enrollment if you have not accessed more than 15% of the course material or attended more than one live session. Early-bird pricing ($497 with testimonial completion) is contingent upon providing a testimonial upon program completion; failure to provide a testimonial will result in the standard pricing rate being applied. Refund requests must be submitted in writing to info@ggsso.com.

3.2 Leadership Circle Subscription Refunds

The Leadership Circle subscription is billed monthly on a recurring basis. You may cancel your subscription at any time. Upon cancellation, you will retain access to the subscription benefits through the end of the current billing period. No refunds are provided for partial months or for cancellations made during a billing cycle. All cancellations must be submitted in writing to info@ggsso.com.

3.3 Consulting Services Refunds

Refunds for strategic consulting, change management, and AI strategy consulting services are available only if services have not been rendered. Refund requests must be submitted within 7 days of the purchase date. Once consulting services have begun, no refunds are available.

3.4 Refund Processing

Approved refunds will be processed within 10 business days to your original payment method. Refunds for subscription cancellations will be processed within 30 days of the cancellation date.

4. Intellectual Property Rights

4.1 Course Materials and Content

All training course materials, educational content, videos, presentations, case studies, and other content provided through our services (collectively, "Course Materials") are the proprietary and confidential property of GGenesis Strategic Solutions LLC. Course Materials are protected by copyright, trademark, and other intellectual property laws.

4.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use Course Materials solely for your personal, non-commercial educational purposes. You may not reproduce, distribute, display, perform, or transmit any Course Materials without our prior written consent.

Our Site and services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that our Site or services will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

To the fullest extent permitted by law, GGenesis Strategic Solutions LLC shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or related to your use of our Site or services, even if we have been advised of the possibility of such damages.

6.3 Maximum Liability

Our total liability to you for any claims arising out of or related to these Terms or your use of our Site or services shall not exceed the total amount you have paid to us for services in the 12 months preceding your claim.

We are not responsible for any loss or damage resulting from your failure to follow our instructions, for technical difficulties on your end, or for the conduct of other users.

7. Governing Law and Dispute Resolution

7.1 Governing Law

These Terms and your use of our Site and services shall be governed by and construed in accordance with the laws of the State of Louisiana, without regard to its conflict of law principles. The fact that we operate on a nationwide or international level does not change this.

7.2 Jurisdiction and Venue

You agree that any legal action or proceeding arising out of or related to these Terms or your use of our Site and services shall be exclusively brought in the state or federal courts located in Louisiana. You consent to the jurisdiction and venue of such courts.

Before initiating any formal legal action, we encourage you to contact us at info@ggsso.com to attempt to resolve any disputes informally. If informal resolution is unsuccessful, you agree to attempt to resolve disputes through good faith negotiation before pursuing litigation.
